1. Services
The Provider will supply the services described in the attached scope or statement of work (the “Services”). Any change to the Services will be agreed in writing before the affected work begins.

2. Fees & Payment
The Client will pay the fees set out in the scope. Invoices are payable within [30] days. Late payments may accrue interest at [rate] as permitted by law.

3. Intellectual Property
On full payment, the Provider assigns to the Client the intellectual-property rights in the final deliverables, excluding the Provider’s pre-existing materials and tools, which remain the Provider’s property.

4. Confidentiality
Each party will keep the other’s confidential information private and use it only to perform this agreement.

5. Term & Termination
This agreement runs until the Services are complete. Either party may terminate on [notice period] written notice, or immediately for material breach that is not remedied within [period].

6. Governing Law
This agreement is governed by the laws of [England and Wales], and the courts of that jurisdiction have exclusive jurisdiction.
